1Acceptance of Terms

By accessing or using Nira's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and ONIVO AB (org.nr 559522-7991), a Swedish limited company operating as Nira. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2Description of Service

Nira provides a competitive intelligence platform that monitors publicly available information about companies you designate. Our Services include:

• Monitoring of competitor news, announcements, and web presence
• AI-powered analysis and summarization of competitive information
• Customizable alerts and briefings
• Collaboration tools for teams

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3Account Registration

To use our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4Subscriptions & Billing

Subscription Plans

We offer various subscription plans with different features and pricing. Plan details are available on our pricing page.

Free Trial

New accounts may be eligible for a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel.

Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are quoted and charged in US Dollars (USD)
• You authorize us to charge your payment method for all fees incurred
• Failed payments may result in suspension of your account

Refunds

All fees are non-refundable except as required by applicable law. We do not provide refunds or credits for partial subscription periods or unused features.

Price Changes

We may change our prices upon 30 days' notice. Price changes will apply to subsequent billing periods, not to the current period.

5Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Access or collect data through automated means (scraping, bots) beyond the Services' intended functionality
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the Services, servers, or networks
• Resell, sublicense, or redistribute the Services without authorization
• Use the Services to harass, abuse, defame, or harm others
• Transmit viruses, malware, or other harmful code
• Engage in any activity that could damage our reputation or goodwill

6Intellectual Property

Our Rights

The Services, including all content, features, and functionality (software, text, graphics, logos, and designs), are owned by Nira and protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes, subject to these Terms. This license does not include the right to:

• Modify, copy, or create derivative works of the Services
• Reverse engineer, decompile, or disassemble any software
• Remove or alter any proprietary notices or labels

7User Content

You retain ownership of any data, content, or information you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive license to use, store, and process it solely to provide the Services to you.

You represent that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

8Disclaimers

This includes but is not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that the Services will be uninterrupted, secure, or error-free

The competitive intelligence provided through our Services is based on publicly available information and AI analysis. We do not guarantee the accuracy, completeness, or timeliness of any information. You should independently verify any information before making business decisions.

9Limitation of Liability

This includes:

• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Services
• Damages resulting from unauthorized access to your account or data

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10Indemnification

You agree to indemnify, defend, and hold harmless Nira and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

11Termination

By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

By Us

We may suspend or terminate your access to the Services immediately, without prior notice, if:

• You breach these Terms
• Your payment method fails and is not updated
• We are required to do so by law
• We discontinue the Services

Effect of Termination

Upon termination, your right to use the Services will cease immediately. We may delete your account and data after a reasonable retention period. Provisions that by their nature should survive termination will remain in effect.

12Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services shall be resolved by the Stockholm District Court (Stockholms tingsrätt) as the court of first instance.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

13Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending you an email notification
• Updating the "Last updated" date

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
